Dear Ms. Qin,

Re: Role Agent for the Sales of Convenient Copiers

Thank you for your letter of the August 11th, 2011, offering your service as our sole agent for the sale of Convenient Copiers in your district. After paying careful consideration to your proposal and investigating your business standing, we have decided to appoint you our sole agency in the district you defined, subject to the following terms and conditions.

Price: all prices shall be quoted on CIF Shanghai in U.S. Dollars..

Commission: 3 percent of our invoice amount for each shipment shall be remitted to you as commission only after the indenter's amount has been fully settled.

Payment: The terns of D/P at sight may be acceptable, though the payment under the Confirmed and Irrevocable L/C is preferable. The business on D/P terms shall be done if the amount does not exceed U.S. $10,000 or its equivalent.

We shall be pleased to learn that you are willing to accept the sole agency on these terms.

The sole agency will naturally be contingent on your maintaining qualified after sales staff. We have drawn up a draft agreement that is enclosed. Please examine the detailed terms and conditions and let us know whether they meet with your approval.
